Dover Corporation Announces $600 Million Debt Offering

NEW YORK, March 11, 2008 /PRNewswire-FirstCall via COMTEX News Network/ -- Dover Corporation (NYSE: DOV) announced today that it has agreed to issue $350 million of 5.45% Notes due 2018 and $250 million of 6.60% Notes due 2038. The net proceeds of the notes will be used to repay borrowings under Dover's commercial paper program. The notes are redeemable at the option of Dover in whole or in part at any time at a redemption price that includes a make-whole premium, with accrued interest to the redemption date. The transaction is anticipated to close on March 14, 2008.

J.P. Morgan Securities Inc., Banc of America Securities LLC and Deutsche Bank Securities, Inc. served as joint book-running managers for the 10-year Notes offering. J.P. Morgan Securities Inc., Goldman, Sachs & Co., and Greenwich Capital Markets, Inc. served as joint book-running managers for the 30-year Notes offering.
